These Terms of Use, together with the Privacy and Cookies Statement, the Special Terms of the Loyalty Program, the Terms of Use of the Miyupana PAY Platform and all notices and policies made available on the Miyupana Platform (collectively, the "Terms of Use") constitute your agreement with Miyupana and are incorporated by reference into these Terms of Use. If you are a Restaurateur who accepts bookings through the Miyupana Platform, these provisions will apply to you in addition to the General Terms and Conditions of Sale and Use, as well as the Special Terms signed at the time of your registration.
Miyupana provides the User with the Services upon acceptance of these Terms of Use. The User declares and acknowledges having read and fully accepted these Terms of Use.
If you are a consumer in the EU or the UK, you have certain mandatory consumer rights that we are committed to upholding. If you are a consumer living elsewhere, you may also have consumer rights under the laws of your territory. Nothing in these Terms of Use affects your mandatory rights as a consumer.
Restaurants are usually licensed business enterprises. Therefore, if you are a Restaurateur using our Services, we will work with you on the assumption that you are running a commercial enterprise in your country and hereby notify you that if you are a consumer, you are not authorized to post your Restaurant on the Miyupana Platform, nor to process payments on behalf of Diners through the Miyupana Platform (and you must inform us immediately if you carry out any of these activities as a consumer).
1. Definitions
"Account" refers to a User profile following registration on the Miyupana Platform, successful payment via Miyupana PAY and/or a completed Booking via partner platforms, other than the Miyupana Platform. Account may also refer to a Restaurateur Account following registration on the Miyupana Manager Platform.
"Diner" refers to a User who uses the Miyupana Platform and Services to make a Booking at a Restaurant.
"Miyupana, we, us" refers to the company La Miyupana SAS, a French company that is part of the Miyupana Group, incorporated under the laws of France with its registered office at 98 rue Claude Decaen, 75012, Paris Paris, France, which is your counterparty in these Terms of Use. You can find our contact details in the Legal Notice section.
"Terms of Use" refers to these general terms of use, together with the Privacy and cookies statement, the Special Terms of the Loyalty Program, the Miyupana PAY Terms of Use and all related notices and policies available on the Miyupana Platform.
"Miyupana Affiliate(s)" refers to any company that is part of the Miyupana Group, including Tripadvisor, Inc. and its subsidiaries.
"Miyupana Group" refers to the entities mentioned here.
In these Terms of Use, "Miyupana Platform" refers to all Miyupana products and services, including all websites accessible via https://miyupana.com or respective national domains, as well as the Miyupana mobile and tablet applications that allow access to the Miyupana interface from which Users can use the Services in the countries where the Miyupana Platform is available.
"User(s)" "you", "your" refers to any natural person aged 18 or over, legally authorized and capable of entering into contracts, who uses the Miyupana Platform, our Services and/or has an Account on the Miyupana Platform. A User may be a Diner or a Restaurateur.
"Restaurant(s)" refers to a restaurant listed on the Miyupana Platform.
"Restaurateur(s)" refers to a User with an Account who owns, manages or is ultimately responsible for a Restaurant listed on the Miyupana Platform. For the purposes of these Terms of Use, this term may also include employees, agents, representatives, staff or any authorized individual who accesses the Miyupana Platform, uses our Services or interacts with Diners – both online and offline – in connection with Bookings made through the Miyupana Platform or partner platforms. Restaurant owners without an Account are not considered "Restaurateurs" under these Terms.
"Booking" refers to a booking made by a Diner through the Miyupana Platform for a meal at a Restaurant. This booking constitutes an agreement, either directly between the Diner and a Restaurateur or, if there is no contracted Restaurateur associated with the Restaurant listing, a service provided by Miyupana to facilitate the booking on behalf of the Diner. The process includes the issuance of a booking confirmation.
"User Content" (including both "Diner Content" and "Restaurateur Content") refers to all elements provided by any User on the Miyupana Platform, including text, document, image, photos, ratings, reviews, list or right of reply.
"Restaurateur Content" includes, in addition to what is defined as "User Content", the elements of the listed restaurant page on Miyupana, such as food and beverage prices, average meal price, chef's name, restaurant availability, menu, calendar, restaurant themes and restaurant photos.
"Services" refers to each and every service available to Users on the Miyupana Platform, as defined in these Terms of Use, including: managing a Restaurant listing; searching for Restaurants; checking Restaurant availability, creating a Miyupana Account; facilitating, making and/or managing Bookings at Restaurants; leaving a review; offering or taking advantage of a promotion, Special Offer or our Loyalty Program (as defined in Loyalty Program - Special Terms); connecting and exchanging information with other Diners; paying and receiving payments via Miyupana PAY.
"External Service Provider" refers to a third-party service provider offering services as described in Article 8.1.
"Special Offer(s)" refers to a discount on the price of the meal or any other benefit for Diners compared to the Restaurant's standard meal conditions, as periodically made available on the Miyupana Platform.
2. Miyupana Services
2.1. What is Miyupana
Miyupana is a platform that, as part of its services, allows diners to get in touch with Restaurants listed on the Miyupana platform. It also offers its users other ancillary services, including payment functionalities.
Miyupana acts as a provider of Information Society Services in accordance with REGULATION (EU) 2022/2065 OF THE EUROPEAN PARLIAMENT AND OF THE COUNCIL ("DSA") and Directive 2000/31/EC ("E-Commerce Directive" as amended); its digital Services are independent and distinct from those provided by Restaurateurs to Diners.
2.2. Restaurant Special Offers
The Miyupana Platform allows Diners, provided the Booking is made through the Miyupana Platform, to benefit from Special Offers provided by Restaurateurs on the Miyupana Platform.
Restaurateurs are ultimately responsible for determining their own promotion strategy and therefore not all Restaurateurs have Special Offers; those that do may decide to limit Special Offers to certain time slots, group size and dates. The validity conditions of such Special Offers, including the specific time slots when they are applicable, form part of the Restaurateur Content and are set out on the Miyupana Platform. Diners undertake to check the validity conditions of the Special Offers before booking on the Miyupana Platform and may in no case claim from the Restaurateur the benefit of a Special Offer outside the validity conditions set out on the Miyupana Platform, and/or outside the Booking procedure containing the Special Offer.
Although Miyupana allows Restaurateurs to display their Special Offers, Restaurateurs must be considered the promoters and are fully responsible for the correct application of any promotion on the Miyupana Platform. Therefore, any claim regarding the application of Special Offers to a group of late Diners at the Restaurateur's discretion, must be addressed exclusively to the Restaurateur.
Special Offers are limited to one use per Booking and therefore one use per table and group. A group of diners cannot make several bookings to benefit from several special offers at the same table.
Diners and their entire group must arrive at the Restaurant at the confirmed Booking time. If a Diner and/or any of their guests does not show up at the Restaurant within 15 minutes of the Booking time, the Restaurateur shall have the right to cancel the Special Offer associated with the Booking for the Diner and their group.
2.3. Direct Discount
Miyupana may from time to launch special offers aimed at a certain number of eligible Diners; they can benefit from them by making a Booking in the Miyupana Mobile App with a dedicated code and paying with Miyupana PAY ("Direct Discount").
Direct Discounts are limited to one use per Booking and therefore one use per table and group of diners. A group of diners cannot make several bookings to benefit from several direct discounts at the same table.

2.5. Reviews and other user content
Users must follow the rules set out below when posting any User Content and, in particular, when posting a review on the Miyupana Platform about a restaurant included on the Miyupana Platform.
2.5.1. Conditions for posting reviews and rating
To post a review and rating, Diners must (i) have registered an Account on the Miyupana Platform or have paid for their meal via Miyupana PAY, (ii) have booked or been invited to a Restaurant through the Miyupana Platform and (iii) have fulfilled the Booking at the Restaurant. Please note that (for security reasons) for a Diner to be able to post a review after having paid correctly via Miyupana PAY, the Diner's payment amount must be at least 5.00 (five) euros.
User content, including reviews, must comply with these Terms of Use and the Content Moderation Guidelines detailed here.
2.5.2. Reasons for rejecting reviews and user content
User Content may be rejected or removed in case of infringement of any of these Terms of Use or for any of the reasons described in the detailed Content Moderation Guidelines, and/or upon being reported by Diners and/or Restaurateurs, for the following reasons: (i) potential civil/criminal liability; (ii) IP infringements or illegality; (iii) conflict of interest/fraud; (iv) info related to Miyupana security operations.
2.5.3. Moderation of User Content
Miyupana may pre/post-moderate User Content using automated filters and human review (avg. up to 2 weeks). Users may request moderation or removal via the report button or email. When Restaurants close or change ownership, prior reviews/photos may be removed.
2.5.4. Reviews from multiple diners
For group bookings, diners may share guests' emails (with prior consent) so all can receive info and post reviews.
2.5.5. Right of reply
Restaurateurs may reply within 3 months via Miyupana Manager; replies must follow these Terms and may be moderated.
2.5.6. Notification and removal of illegal User Content
Users may notify unlawful content via the report button or by email with supporting evidence. Verified unlawful content will be removed and the author may appeal.
2.6. Restaurant rating
Ratings shown correspond to a weighted average; methodology is explained on a dedicated page.
2.7. Restaurant ranking
Search results depend on multiple weighted criteria; details are provided on an explanation page.
2.8. Miyupana PAY
Payments via "MiyupanaPAY" are subject to specific terms and may not be available in all jurisdictions.
2.9. Miyupana Gift Cards
Gift Cards are virtual codes redeemable via Miyupana PAY; see specific terms & availability.
2.10. Modifications and updates
We may update Platform elements (layout, features, hosting, compliance, compatibility, security) at any time.
3. Account creation, credentials and cancellation
3.1. Eligibility: 18+, legal capacity, and legitimate bookings. 3.2. Diners: single account, verified contact data. 3.3. Restaurateurs: Authorized Users only; responsibility for their acts. 3.4. Bookings may have extra eligibility limits. 3.5. Credentials are personal and confidential. 3.6. You can close your account as described; bookings/Yupi Loyalty may be cancelled/voided.
4. Modification of the Terms of Use
We may modify these Terms to reflect legal or service changes. Material changes will be notified on the Platform. If you disagree, stop using the Services.
5. Right of withdrawal
EU/UK consumers may cancel within 14 days of account creation; or later by closing the account.
6. Limitations of liability & prohibited actions
6.1. Indemnities & disclaimers: you use the Platform at your own risk; Miyupana is not a party to contracts between Users and does not guarantee Restaurant content or availability. 6.2. Prohibited actions include no-shows, abusive cancellations, copying/scraping, illegal or infringing content, reverse engineering, excessive load, misuse of PAY, framing/mirroring, etc. 6.3. Users agree to cooperate in fraud/safety investigations. 6.4. Breaches may lead to suspension/termination and damages.
7. Intellectual property
User Content license to Miyupana; compliance with IP laws; ownership of Platform IP; protection of trademarks, designs, code, data, etc.; sanctions for infringement.
8. Third-party services
External Service Providers, social networks, affiliates and partners may be involved; review their terms. Sharing to such platforms follows their privacy settings.
9. Other provisions
